These Terms of Service ("Terms") are a binding agreement between Rosenberg Mansion Corp. ("Company," "Clara," "we," "us," "our") and the entity or individual ("you," "Customer") that registers for or uses Clara's AI-powered voice intake and call-screening platform (the "Service").
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ACCEPTING ON BEHALF OF A COMPANY, YOU REPRESENT YOU HAVE AUTHORITY TO BIND THAT COMPANY.
1. The Service
Clara provides AI-driven call answering, caller screening, transcription, and lead-qualification tools for law firms and similar professional service businesses. Clara is a support tool; it does not provide legal advice and does not act as an attorney, paralegal, or law firm.
2. Eligibility & Account Registration
You must be at least 18 years old and have authority to enter into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3. Customer Responsibilities
You are responsible for:
- Ensuring your use of Clara (including call recording and automated outbound SMS/calls) complies with applicable law in every jurisdiction where your firm operates or calls originate/terminate, including telephone consumer protection, call-recording consent, and professional conduct/advertising rules applicable to attorneys
- Providing accurate information about your firm and services for use in Clara's screening scripts
- Reviewing AI-generated outputs (transcripts, summaries, qualification scores) before relying on them for business-critical decisions
- Obtaining any consents required from your own clients or callers
4. Fees & Payment
Fees are as described on our pricing page or in your order form, billed in advance via Stripe on a recurring basis unless otherwise agreed. Fees are non-refundable except as described in our Refund & Cancellation Policy. We may change pricing with at least 30 days' notice for renewal terms.
5. Term, Cancellation & Suspension
These Terms remain in effect while you use the Service. You may cancel at any time per our Refund & Cancellation Policy. We may suspend or terminate your access immediately if you violate these Terms, our Acceptable Use Policy, or applicable law, or if your account is delinquent.
6. Intellectual Property
We retain all right, title, and interest in the Service, including underlying software, models, and documentation. You retain ownership of your firm's data and content you submit. You grant us a license to use your data solely to provide, maintain, and improve the Service.
7. AI Output Disclaimer
Clara uses artificial intelligence to screen calls, generate transcripts, and summarize caller information. AI outputs may contain errors, omissions, or inaccuracies. You are solely responsible for verifying AI-generated content before relying on it, and Clara is not a substitute for human judgment in matters requiring legal, professional, or emergency response.
8. No Legal or Professional Advice
Nothing in the Service constitutes legal advice, and no attorney-client relationship is created between Clara, Rosenberg Mansion Corp., and any caller or Customer.
9. Third-Party Services
The Service integrates with third-party providers (e.g., telephony carriers, AI model providers, payment processors). We are not responsible for the acts, omissions, or downtime of third-party providers.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROSENBERG MANSION CORP. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Rosenberg Mansion Corp. from claims arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including claims relating to your firm's compliance obligations under telemarketing, call-recording, or attorney-advertising rules.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in New York, New York, and you consent to personal jurisdiction there.
14. Changes to These Terms
We may modify these Terms from time to time. Material changes will be communicated via email or dashboard notice. Continued use after changes constitutes acceptance.
